Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Service") provided by Vitro Dynamics Limited ("Vitro Dynamics", "we", "us", or "our"), including Facility Resource Planner ("FRP"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Customer" means the organization or individual that registers for the Service. "User" means any individual authorized to use the Service through a Customer account. "Customer Data" means data submitted to the Service by or on behalf of a Customer.

2. The Service

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms and any applicable order form or subscription plan. We may update, modify, or discontinue features of the Service at any time.

3. Accounts and Registration

You must provide accurate, complete information when creating an account and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at [security email] of any unauthorized use.

4. Subscriptions, Fees, and Payment

  • Paid plans are billed in advance on the cadence stated in your order form or plan ([monthly/annual]).
  • Fees are non-refundable except as required by law or expressly stated in writing.

The Service, including all software, design, and content we provide, is owned by Vitro Dynamics and its licensors and is protected by intellectual property laws. Except for the rights expressly granted here, no rights are transferred to you.

8. Third-Party Services

The Service may interoperate with third-party services (for example, payment processors). Your use of those services is governed by their terms, and we are not responsible for them.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising out of or related to the Service will not exceed the amounts you paid to us for the Service in the [12] months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Vitro Dynamics from claims arising out of your Customer Data, your use of the Service, or your violation of these Terms, to the extent permitted by law.

These Terms apply while you use the Service. We may suspend or terminate access for breach of these Terms or to protect the Service. Upon termination, your right to use the Service ceases; sections intended to survive (including ownership, disclaimers, and limitations of liability) will survive.

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Continued use after changes take effect constitutes acceptance.

14. Governing Law and Disputes
